Client Engagements

Payment Terms
Unless otherwise specified, invoices are due within 14 days. Late payments may incur interest at 4% above the Bank of England base rate.
Intellectual Property
Upon full payment, clients receive ownership of custom work. Pre-existing IP, frameworks, and tools remain property of Alevia Nova Ltd with a license granted for use in the client's project.
Limitation of Liability

Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

3. Website Use
3.1 Permitted Use
Subject to these Terms, you may access and use our website for lawful purposes, including browsing content, submitting contact inquiries, downloading publicly available resources, and sharing links to our content.
3.2 Prohibited Use
You shall not:
- Use our website in violation of any applicable laws or regulations;

4. Client Engagements
4.1 Project Agreements
All client engagements shall be governed by a separate written agreement, which shall include provisions regarding scope of work, deliverables, timeline, fees, intellectual property rights, confidentiality obligations, and termination.
4.2 Payment Terms
Unless otherwise specified in a written agreement, all invoices are due and payable within fourteen (14) days of the invoice date. Late payments shall incur interest at a rate of four percent (4%) per annum above the Bank of England base rate.
4.3 Intellectual Property
Upon receipt of full payment, clients shall receive ownership of custom work product specifically created for them under the applicable agreement. All pre-existing intellectual property, frameworks, tools, and methodologies shall remain the sole property of Alevia Nova Ltd, with a non-exclusive, perpetual license granted to the client for use in connection with the delivered project.
5. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability shall not exceed the fees actually paid by you for the specific services giving rise to the claim;
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
- We shall not be liable for any delays or failures in performance caused by circumstances beyond our reasonable control (force majeure).
Nothing in these Terms shall exclude or limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
6. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
7. Amendments
We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the revised Terms on our website and updating the "Last updated" date. Your continued use of our website or services following the posting of changes constitutes acceptance of such changes.
